Dispatchor is a job dispatch and management platform that connects service professionals with service requests. The Platform enables:

  • Job Management: Creation, assignment, tracking, and completion of service jobs
  • Invoice Management: Generation, distribution, and payment processing for service invoices
  • Contact Management: Management of professional contacts and referral networks
  • Commission Tracking: Calculation and tracking of commission splits between service providers
  • Reporting: Generation of financial and performance reports
  • Payment Processing: Secure payment processing through integrated payment providers (e.g., Stripe)

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account by providing:

  • A valid phone number or email address
  • Your full name
  • A profession or service type (if applicable)
  • Any other information required during registration

3.2 Authentication

  • You may authenticate using phone number with OTP (One-Time Password) or email/password
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You are responsible for all activities that occur under your account

3.3 Account Requirements

  • You must be at least 18 years old to use the Service
  • You must provide accurate, current, and complete information
  • You must maintain and update your account information to keep it accurate
  • You may not create multiple accounts to circumvent Platform restrictions

3.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent, illegal, or harmful activity
  • Non-payment of fees (if applicable)
  • Any other reason we deem necessary to protect the Platform and its users

4. Job Management

4.1 Job Creation

  • Service providers may create jobs with customer information, service details, and location data
  • You warrant that all information provided in job creation is accurate and truthful
  • You are responsible for obtaining necessary permissions to share customer information

4.2 Job Assignment

  • Jobs may be assigned to other service providers or technicians through the Platform
  • Assignment may involve commission splits as agreed upon between parties
  • You are responsible for ensuring that assigned parties are qualified and authorized to perform the service
  • Dispatchor is not responsible for the quality of services provided by assigned parties

4.3 Job Status and Completion

  • Jobs progress through various statuses: PENDING, AWAITING_RESPONSE, UNASSIGNED, IN_PROGRESS, AWAITING_PAYMENT, COMPLETED, or CANCELLED
  • You are responsible for accurately updating job statuses
  • Completion of services is between you and the customer; Dispatchor facilitates but does not guarantee service delivery

4.4 Customer Information

  • You must obtain proper consent before sharing customer information through the Platform
  • You are responsible for compliance with applicable privacy laws when handling customer data
  • Customer information must be used solely for the purpose of providing services

5. Invoices and Payments

5.1 Invoice Creation

  • Invoices may be created for completed jobs
  • Invoices include labor amounts, parts amounts, and total amounts
  • You are responsible for the accuracy of invoice information

5.2 Payment Processing

  • The Platform may facilitate payment processing through third-party payment providers (e.g., Stripe)
  • Payment processing is subject to the terms and conditions of the payment provider
  • Platform fees may apply to payment transactions
  • We are not responsible for payment processing errors or delays caused by payment providers

5.3 Payment Methods

  • Accepted payment methods may include cash, card, check, or third-party payment services (e.g., Cash App, Venmo, Zelle, PayPal)
  • Payment method availability depends on your account configuration and payment provider integration
  • You are responsible for ensuring payment methods are properly configured

5.4 Invoice Distribution

  • Invoices may be sent to customers via SMS, email, or both
  • You are responsible for ensuring customer contact information is accurate
  • We are not responsible for delivery failures due to incorrect contact information

5.5 Public Invoice Links

  • Invoices may be accessible via secure token-based links
  • You are responsible for the security of invoice links and tokens
  • Do not share invoice links with unauthorized parties

6. Commissions and Referrals

6.1 Commission Structure

  • The Platform supports commission splits between service providers
  • Commission percentages are determined by agreements between parties
  • Commission overrides may be set for specific jobs
  • You are responsible for negotiating and agreeing to commission terms with other parties

6.2 Contact Management

  • You may add contacts to manage referral relationships
  • Commission splits may be configured for incoming and outgoing jobs
  • You are responsible for maintaining accurate contact information and commission agreements

6.3 Commission Disputes

  • Dispatchor facilitates commission tracking but is not responsible for resolving commission disputes
  • Disputes between service providers regarding commissions must be resolved between the parties
  • We may provide reporting tools to assist in commission calculations, but final responsibility lies with the parties involved

7. User Responsibilities and Conduct

7.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Infringe upon the rights of others
  • Transmit any viruses, malware, or harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Impersonate any person or entity
  • Collect or store personal data about other users without authorization
  • Use the Service to send spam or unsolicited communications

7.2 Service Quality

  • You are solely responsible for the quality of services you provide to customers
  • Dispatchor does not guarantee, endorse, or verify the quality of services provided by users
  • You must maintain appropriate licenses, insurance, and qualifications for your profession

7.3 Customer Relationships

  • Your relationship with customers is independent of Dispatchor
  • You are responsible for all communications, agreements, and disputes with customers
  • Dispatchor is not a party to any service agreements between you and customers

8. Fees and Payments

8.1 Platform Fees

  • Platform fees may apply to certain transactions or services
  • Fee structures will be disclosed before you incur charges
  • Fees are non-refundable unless otherwise stated

8.2 Payment Provider Fees

  • Third-party payment providers may charge fees for payment processing
  • These fees are separate from Platform fees and are disclosed by the payment provider
  • You are responsible for all fees associated with payment processing

8.3 Refunds

  • Refund policies are determined by agreements between service providers and customers
  • Dispatchor does not process refunds unless required by law or as part of a specific refund policy
  • Disputes regarding refunds must be resolved between service providers and customers

9. Intellectual Property

9.1 Platform Ownership

  • The Service, including all content, features, and functionality, is owned by Dispatchor and protected by copyright, trademark, and other intellectual property laws
  • You may not copy, modify, distribute, sell, or lease any part of the Service

9.2 User Content

  • You retain ownership of content you submit to the Platform (e.g., job descriptions, customer information)
  • By submitting content, you grant Dispatchor a license to use, store, and process that content to provide the Service
  • You are responsible for ensuring you have the right to submit content to the Platform

9.3 Trademarks

  • "Dispatchor" and related logos are trademarks of Dispatchor
  • You may not use our trademarks without prior written permission

10. Privacy and Data Protection

10.1 Privacy Policy

  • Your use of the Service is also governed by our Privacy Policy
  • By using the Service, you consent to the collection and use of information as described in the Privacy Policy

10.2 Data Security

  • However, no method of transmission over the Internet is 100% secure

  • We are not responsible for payment provider errors, outages, or policy changes

12. Disclaimers and Limitations of Liability

12.1 Service Availability

  • The Service is provided "as is" and "as available"
  • We do not guarantee that the Service will be uninterrupted, secure, or error-free
  • We may modify, suspend, or discontinue the Service at any time

12.2 No Warranty

  • We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We do not warrant that the Service will meet your requirements or expectations

12.3 Limitation of Liability

  • To the maximum extent permitted by law, Dispatchor shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Services you provide to customers

13. Dispute Resolution

13.1 User Disputes

  • Disputes between users (e.g., commission disputes, service quality disputes) must be resolved between the parties
  • Dispatchor is not obligated to mediate or resolve disputes between users
  • We may provide tools or information to assist in dispute resolution, but we are not responsible for outcomes

13.2 Governing Law

17. Special Provisions for Service Providers

17.1 Professional Requirements

  • You must maintain all required licenses, certifications, and insurance for your profession
  • You are responsible for compliance with all applicable laws and regulations
  • Dispatchor does not verify or guarantee your qualifications

17.2 Service Standards

  • You agree to provide services in a professional and competent manner
  • You are responsible for all aspects of service delivery, including safety and quality
  • Dispatchor is not responsible for service outcomes or customer satisfaction

17.3 Reporting and Records

  • You are responsible for maintaining accurate records of services provided
  • The Platform provides reporting tools, but you are responsible for record-keeping compliance
  • You must provide accurate information for reports and analytics

18. Special Provisions for Customers

18.1 Service Agreements

  • Your service agreement is with the service provider, not Dispatchor
  • Dispatchor facilitates connections but is not a party to service agreements
  • All service terms, pricing, and warranties are between you and the service provider

18.2 Payment Obligations

  • You are responsible for payment of invoices according to terms agreed with the service provider
  • Payment processing is handled by third-party providers
  • Disputes regarding charges must be resolved with the service provider

18.3 Invoice Access

  • Invoices may be accessible via secure links
  • You are responsible for the security of invoice access tokens
  • Do not share invoice links with unauthorized parties

19. SMS and Messaging Program (Twilio / Carrier Compliance)

If you receive SMS or text messages from Dispatchor (e.g., job notifications, invoice links, one-time codes, or account alerts), the following applies.

19.1 Program Name and Description

  • Program name: Dispatchor
  • Description: Dispatchor is a job dispatch and management platform. SMS messages may be sent for authentication (e.g., OTP).

19.2 Message and Data Rates

  • Message and data rates may apply. You may be charged by your wireless provider for messages sent to and from the service. Check your mobile plan or contact your carrier for details.

19.3 Message Frequency

  • Message frequency varies by use: you may receive messages when jobs are assigned or updated, when invoices are sent, for login codes, and for other notifications you or your organization have opted into. Frequency is typically on the order of a few to several messages per day depending on activity; you can reduce messages by adjusting notification preferences where available.

19.5 Opt-Out Instructions

  • To stop receiving SMS messages: reply STOP to any message. You will receive a confirmation that you have been unsubscribed. To get help: reply HELP to any message for assistance and opt-out information.
  • After opting out via STOP, you will no longer receive SMS from this program unless you opt in again. Standard opt-out keywords (e.g., STOP, UNSUBSCRIBE, END, QUIT, CANCEL) may also be supported.
